End-User License Agreement

1. Acceptance of Terms

By accessing or using the Numbers Game QuickBooks Online Integration (“Service”), you agree to be bound by this End-User License Agreement (“Agreement”). If you do not agree, do not use the Service.

2. Description of Service

The Service is a software integration that connects to your QuickBooks Online account via Intuit's authorized APIs to read, create, update, and manage accounting data including but not limited to accounts, transactions, invoices, bills, vendors, customers, and journal entries.

3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business accounting and bookkeeping purposes, subject to this Agreement.

4. Account Authorization

To use the Service, you must authorize access to your QuickBooks Online account through Intuit's OAuth 2.0 authorization process. By authorizing, you confirm that you have the right to grant access to the connected QuickBooks Online company file.

5. Data Usage

• The Service accesses your QuickBooks Online data only as necessary to perform the functions you request.
• We do not sell, share, or distribute your QuickBooks Online data to third parties.
• Data handling is governed by our Privacy Policy.

6. Your Responsibilities

• You are responsible for the accuracy of data entered or modified through the Service.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must comply with all applicable laws and regulations, including tax and financial reporting requirements.
• You must have proper authorization to access and modify the QuickBooks Online company files you connect to the Service.

7. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Service.
• Use the Service for any unlawful purpose.
• Attempt to gain unauthorized access to systems or data beyond what you have been authorized to access.
• Resell or redistribute the Service without prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE SERVICE DOES NOT CONSTITUTE PROFESSIONAL ACCOUNTING, TAX, OR FINANCIAL ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NUMBERS GAME BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO ERRORS IN FINANCIAL DATA, INCORRECT CATEGORIZATIONS, OR MISSED TRANSACTIONS.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. You may disconnect the Service from your QuickBooks Online account at any time by revoking access through your Intuit account settings.

11. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting. Your continued use of the Service after changes constitutes acceptance of the updated terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
